Terms and Conditions: APPLE & BEARS Limited (Leisuretrade.com).
Trade-Only Supplier:
1. By engaging in transactions with APPLE & BEARS Limited, the customer acknowledges and agrees that the company, operating under the trade name Leisure Trade.com, functions exclusively as a trade-only supplier. Business-to-business transactions are the sole focus, and the company does not cater to retail consumers.
Prohibition of Resale:
2. Products acquired through transactions with APPLE & BEARS Limited are expressly intended for the customer's exclusive use. Any form of resale is strictly prohibited. This prohibition is in place to maintain control over distribution channels.
Agreement by Purchase:
3. The act of signing into the account with your company details required to join and making a purchase on the platform constitutes the customer's explicit agreement to adhere to the terms and conditions established by APPLE & BEARS Limited.
4. APPLE & BEARS Limited may ask for credit reference and checks before acceptance of opening an account and as the right to reject any application.
Exclusion of Value Added Tax (VAT):
5. The VAT applied to transactions will align with the prevailing rate at the time of purchase. This practice accommodates potential changes in tax regulations.
Basis of Sale (Formation of Contract) & Variations:
The contract is formed upon APPLE & BEARS Limited communicating its acceptance of the customer's order in writing. These terms, along with the Privacy Policy, constitute the contract for the sale and purchase of goods. Variations to the contract are binding only if agreed upon in writing by authorized representatives of both parties.

Specifications:
7. APPLE & BEARS Limited reserves the right to make changes in the specifications of goods to comply with safety or statutory requirements, product improvement processes, or manufacturer requests.
Payment:
8. Payment is taken from the customer's debit/credit card at the point of order dispatch. The customer undertakes to provide accurate details for the purchase and ensures the
authorized use of the payment card.
Data Protection:
9. The personal data provided by you at the beginning of, or during business dealings shall be processed and stored in compliance with the provisions of the UK Data Protection Act. You have the right to request the deletion or correction of your personal data. For any such requests, please contact info@appleandbears.com or send a written request by mail. We do not share personal data with third parties, except for essential service partners involved in order processing, such as parcel services or banks. In such cases, data sharing is limited to the necessary minimum.
Any information provided by you may be used for various purposes essential to regulating business dealings,
including recording, and updating records, credit referencing, and sharing details with credit reference agencies for credit ratings and tracing in case of default. By placing an order, you consent to the processing of your personal data for these purposes
Delivery and Acceptance:
10. Goods will be delivered to the customer's usual point of delivery. While APPLE & BEARS Limited aims to meet delivery dates, variations may occur. The customer must inspect all goods upon delivery and promptly notify APPLE & BEARS Limited of any issues. The right to cancel an order within 7 days is provided
Risk and Property in the Goods:
11. Property in the goods remains with APPLE & BEARS Limited until the customer pays all sums due. Risk passes to the customer upon delivery.
Warranties & Liabilities:
12. APPLE & BEARS Limited warrants that goods will conform to their specifications and be free from defects at the time of delivery. The warranty is subject to the legal regulations of the UK
Cancellation & Returns Policy:
13. You are entitled to cancel your order based on the following terms:
Before Dispatch:
If you cancel before dispatch, a warehouse restocking charge will be applied (£25.00 or 5% of the total invoice value, whichever is greater).
After Dispatch:
If you cancel after dispatch, you will be responsible for both Pick up & Return costs, in addition to warehouse restocking charges (£25.00 or 5% of the total invoice value, whichever is greater).
You also have the right to return ordered goods within 7 days of receipt, provided they are in new, unused, and resale condition.
Insolvency of the Customer:
14. If the customer becomes insolvent, APPLE & BEARS Limited may suspend deliveries or request payment in advance without liability.
APPLE & BEARS Limited Special (Bespoke Goods) Order and Payment Terms:
15. This specialized clause covers special orders for bespoke goods, addressing payment terms, non-refundability, and the customer's commitment after design acceptance. Once the client accepts the design and product specifications, cancellations or refunds are not entertained.
Trademark/Images/Logos:
16. Assignability of rights, notice requirements, and restrictions on the use of company images and trademarks are covered in this section. The contract is governed by the laws of England, and both parties submit to the non-exclusive jurisdiction of the English Courts.
